Who we are
Jason is a business lawyer with an across-the-board practice focusing on M&A, financing and investment transactions, securities and capital markets, commercial transactions, and corporate organization, governance and compliance, and including real estate, debtor/creditor, and competition and trade regulation. He's also had experience on the business side, running a real estate brokerage and consulting company and in the financial services sector as a financial advisor and as a compliance examiner.
Jason received his BS in mathematics from the Massachusetts Institute of Technology and his MA from Princeton University, where he studied mathematical physics under a National Science Foundation Graduate Fellowship and held assistantships in research and instruction. Then he switched direction (a stint as a legislative intern to the Speaker of the Massachusetts House of Representatives helped reshape his scholarly interests and career goals) and received his JD from The University of Chicago Law School. While there, he clerked for Hon. Edward J. Ryan, Bankruptcy Judge, S.D.N.Y.
Jason has worked at Big Law, including Shea & Gould and Weil, Gotshal & Manges, and he has been a partner or counsel at elite mid-size and boutique firms. In addition, he served for several years as general counsel at a luxury resort development company. He has worked on headline transactions, such as the bankruptcies of Toys "R" Us, Drexel Burnham Lambert and Eastern Airlines and the breakup of the Singer Company, and for household name companies and other high profile clients. He's also worked on hundreds of smaller scale transactions, including new small business ventures, start-up funding, private placements, middle market secured lending, real estate conveyance and financing, executive employment, and sales or services agreements and other commercial transactions. Some deals were commonplace, some exotic or complex, all were handled diligently and dexterously.
Given his academic and business background, Jason is exceptional in combining customary lawyering skills with extraordinary facility with financial and quantitative matters and a refined sense of balance between legal requirements and business practicalities. The depth and breadth of his skill set, experience and knowledge base enable him to service clients efficiently in a wide range of matters. Whether conducting due diligence or generating the documentation, or structuring, negotiating and closing a transaction, he always seeks to add value and to make a distinctive contribution to each engagement. Clients have always appreciated his responsiveness, vigorous representation and quality work product.
